Andrew W. Code
Andy Code is one of the Trustees of the Fund and a member of the Fund’s Audit Committee. He is a founder and partner of Code Hennessy & Simmons (“CHS”), a Chicago-based, private equity firm with more than $3.0 billion under management. Prior to founding CHS, Mr. Code was a Vice President with Citicorp’s Leveraged Capital Group in Chicago, Illinois. Prior to joining Citicorp, Mr. Code was employed by American National Bank in Chicago. Mr. Code holds a B.A. and an M.B.A. from the University of Iowa. He currently serves on the boards of directors of American Laser Centers, LLC; The Hillman Companies, Inc.; Nautic Global Group; SCP Pool Corporation; and Woodstream Corporation. Mr. Code also serves on the boards of directors of the University of Iowa Foundation and Resource Land Holdings.

John (Jack) E. Neal
Jack Neal is one of the Trustees of the Fund. He is the Chair of the Fund’s Audit Committee and a member of the Fund’s Valuation Committee. Mr. Neal is not affiliated with the Fund Manager. Mr. Neal is a private investor. He currently serves as one of the trustees of the Calamos Mutual Funds and is a member of the board of several private companies. Mr. Neal has spent his career in the financial services industry, during which time he has focused primarily on real estate financing. Prior to the merger of JP Morgan Chase & Co. and Bank One, N.A., Mr. Neal led Bank One’s real estate lending and corporate banking businesses. Prior to his work at Bank One, he led the real estate lending businesses at Kemper Financial Services and Continental Bank. Mr. Neal received a bachelor’s degree and a masters of business administration degree from Harvard University.

Michael C. Doyle
Mike Doyle is one of the Trustees of the Fund, serving as Delaware Trustee. Mr. Doyle is not affiliated with the Fund Manager. Mr. Doyle is a Vice President at Stewart Management Company. In such capacity, he performs the duties of an Independent Director of Special Purpose Entities (SPEs), assists with the establishment and management of Delaware Passive Investment Companies, and serves as Resident Trustee on Delaware Statutory Trusts. Mr. Doyle’s broad background includes product development, marketing and administration of financial services, financial and control management, operations manager, and strategic planning support. Mr. Doyle also has worked at JPMorgan & Co. and Morgan Guaranty International Bank.

Vera Makarov
Vera Makarov is one of the Trustees of the Fund and is not affiliated with the Fund Manager. Ms. Makarov is an Investment Manager with BlueOrchard Private Equity Fund S.C.A. SICAV-FIS, a Geneva, Switzerland based, investment management firm with more than $1.2 billion under management. Specifically, Ms. Makarov works within the $200 million private equity fund covering microfinance equity investments. Prior to joining BlueOrchard Investments, she worked at IGNIA, a Mexican venture capital fund investing in businesses at the base of the pyramid. She evaluated new investment opportunities and advised entrepreneurs on product design, pricing, channels and reaching commercial scale. Ms. Makarov also created and implemented IGNIA’s social and environmental monitoring and reporting system. Before transitioning to social investing, she worked at Sankaty Advisors, the fixed income affiliate of Bain Capital. In addition to helping launch Sankaty’s European operations, Ms. Makarov actively managed a portfolio of $2 billion and was responsible for 20 new debt, mezzanine, and equity investments ranging from $25-100 million in size. She holds an MBA from Harvard Business School, an MPhil in Art History from the University of Cambridge, and a BA in Social Studies from Harvard University. She is a trustee emeritus of the Harbus Foundation, a board member of the Cambridge Community Art Center, and an investor in New Profit, an American venture philanthropy organization. Ms. Makarov is fluent in Russian, Spanish, and English, and is rapidly learning French.
